Terms of Service

1. Scope of Services (Advisory Only)

CVORReady.ca (operated by Brian Payne, sole proprietorship) provides advisory, monitoring, and document-review services for Ontario commercial carriers. These services include CVOR monitoring, driver file review, compliance gap identification, monthly reporting, and audit preparation support.

CVORReady does not act as the carrier's safety officer of record and does not assume the carrier's legal obligations under the CVOR program, the Highway Traffic Act, or National Safety Code (NSC) standards. All services are provided in an advisory capacity only.

2. Carrier Responsibility

The carrier remains at all times the CVOR operator of record and the party legally responsible for compliance, recordkeeping, driver qualification, vehicle maintenance, hours of service, and audit outcomes. Engaging CVORReady does not transfer, reduce, or modify the carrier's legal obligations to any regulatory authority, including the Ministry of Transportation Ontario (MTO).

CVORReady's involvement does not constitute a representation to the MTO, insurers, or any third party that the carrier's operation is compliant. The carrier is responsible for reviewing all reports, acting on recommendations, and ensuring the accuracy of records submitted to or maintained for regulatory purposes.

3. No Guarantee of Outcome

CVORReady's reports, scores, checklists, action items, and recommendations are advisory tools. They do not guarantee any MTO audit result, CVOR safety rating (Satisfactory, Conditional, or Unsatisfactory), roadside inspection outcome, or insurance result of any kind. Past performance and score trends are not predictive of future regulatory outcomes.

CVORReady reviews information provided by the carrier and cannot independently verify the completeness or accuracy of records not directly in its possession. Findings are limited to information made available during the engagement.

4. Audit Readiness Score

The Audit Readiness Score is an internal compliance indicator modeled on MTO facility-audit methodology. It is not an official MTO determination and does not constitute a forecast or guarantee of any official MTO audit result, safety rating, or inspection outcome. The score is provided for internal compliance management purposes only and should not be represented to insurers, regulators, or third parties as a certification of compliance standing.

5. Limitation of Liability

Note: The limitation-of-liability clause below is a placeholder pending review by an Ontario commercial lawyer. CVORReady intends to replace this section with reviewed legal language before the platform goes live to the general public. Do not rely on this placeholder as legal advice or as a final limitation of liability.

To the maximum extent permitted by applicable law, CVORReady's total liability to any client arising out of or related to these services — whether in contract, negligence, or otherwise — shall not exceed the fees paid by that client in the three months preceding the event giving rise to the claim. CVORReady shall not be liable for any indirect, consequential, incidental, or punitive damages, including but not limited to lost revenue, premium increases, regulatory fines, or safety rating downgrades, even if CVORReady has been advised of the possibility of such damages.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by Ontario law.

6. Changes to These Terms

CVORReady may update these Terms from time to time. Continued use of our services following notice of updated Terms constitutes acceptance of the revised Terms. The effective date at the top of this page reflects the date of the most recent revision.

7. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
